Terms of Service
Please read these terms carefully. They govern your use of the Vehport platform and your relationship with Vehport Nigeria Limited.
01Overview
Vehport Nigeria Limited ("Vehport", "we", "us", or "our") provides a digital platform that enables users to source, purchase, and import vehicles from global markets including the United States, Canada, Japan, South Korea, China, and the United Arab Emirates.
Vehport facilitates logistics, documentation, and coordination services but does not manufacture, own, or guarantee vehicles listed on third-party marketplaces. By accessing or using the Vehport platform, you agree to be bound by these Terms of Service.
02User Eligibility
By using Vehport, you confirm that you:
- →Are at least 18 years of age
- →Have the legal capacity to enter into binding agreements under applicable law
- →Will provide accurate, complete, and current information during registration and transactions
- →Will update your information promptly if it changes
- →Are not prohibited from receiving services under the laws of Nigeria or any other applicable jurisdiction
Vehport reserves the right to suspend or terminate accounts where eligibility requirements are not met or where false information has been provided.
03Scope of Services
Vehport provides:
- →Vehicle sourcing assistance from global auction houses and dealers
- →Auction bidding support on your behalf (Copart, IAAI, Manheim, UAE, and European sources)
- →Shipping coordination from origin country to Nigerian ports
- →Customs clearing coordination via licensed clearing agents
- →Last-mile delivery facilitation across Nigeria
- →Repair and restoration coordination via third-party partner workshops
Vehport does not:
- →Guarantee vehicle condition, fitness for purpose, or drivability
- →Act as the seller or owner of auction vehicles
- →Provide mechanical or repair services directly
- →Guarantee specific delivery timelines (subject to shipping lines, NCS, and port conditions)
04Payments & Milestones
All payments must be made in Nigerian Naira (₦) according to agreed milestones:
- →Vehicle purchase confirmation deposit must be paid before Vehport bids on your behalf
- →Shipping fees must be paid before the vehicle is booked onto a vessel
- →Customs clearing and duty fees must be paid before the vehicle is released from port
- →Delivery fees (if applicable) must be paid before dispatch
Failure to complete any required milestone payment may result in delays, storage charges, demurrage costs, or forfeiture as described in Section 5 below. Vehport invoices are itemised and show all cost components. No hidden fees will be introduced after agreement.
05Default & Cost Recovery
If a customer fails to meet payment obligations at any milestone, Vehport reserves the right to:
- →Withhold vehicle delivery until outstanding amounts are settled
- →Take custody of the vehicle at the Nigerian port or holding yard
- →Charge ongoing storage fees (₦5,000–₦15,000/day depending on vehicle size) for vehicles held at Vehport facilities
- →Sell the vehicle by private treaty or auction after giving 14 days written notice to recover all costs incurred, including shipping, port clearing, storage, demurrage, and administrative fees
- →Pursue legal recovery for any outstanding balance after sale proceeds are applied
06Third-Party Services
Vehport works with a network of third-party providers to deliver its services, including but not limited to:
- →US, UAE, and European auction houses (Copart, IAAI, Manheim, and others)
- →International shipping companies (RoRo carriers, container lines, freight forwarders)
- →Licensed Nigerian customs clearing agents
- →Last-mile transport companies and logistics providers
- →Vehicle inspection and repair partner workshops
- →Payment processors and financial service providers
Vehport is not liable for actions, delays, damages, or errors caused by third-party providers. Where a third party causes delay or loss, Vehport will assist the customer in pursuing the third party but does not assume financial liability for their failures.
07Delivery & Risk Transfer
Risk of damage, loss, or theft transfers to the customer at the earlier of:
- →The point at which the vehicle is released from the Nigerian port gate into customer custody or to a third-party transporter engaged by the customer
- →Delivery of the vehicle to the customer's specified address
- →Customer pickup from Vehport's holding yard
Vehport strongly recommends marine insurance for all imported vehicles. If the customer declines insurance and the vehicle suffers transit damage, Vehport's liability is limited to assisting with third-party claims and does not extend to financial compensation.
Vehport may assist with last-mile delivery but does not assume liability for delivery delays or vehicle condition after port release unless explicitly agreed in a separate written delivery agreement.
08Vehicle Condition Disclaimer
Most vehicles sourced from international salvage and insurance auctions may have one or more of the following:
- →Prior accident damage (collision, fire, flood, hail, theft recovery)
- →Mechanical issues, missing parts, or non-running condition
- →Odometer discrepancies or title brand history
- →Cosmetic damage or interior wear
Vehport does not guarantee:
- →Drivability or roadworthiness on arrival
- →Accuracy of auction house condition reports
- →Specific repair outcomes when vehicles are sent to partner workshops
- →That any vehicle meets Nigerian roadworthiness standards without additional work
09Limitation of Liability
To the maximum extent permitted by applicable law, Vehport shall not be liable for:
- →Indirect, special, incidental, or consequential damages of any kind
- →Loss of profit, business opportunity, or anticipated savings
- →Delays caused by Nigerian Customs Service (NCS), port congestion, or shipping line schedules
- →Vehicle damage during international shipping (covered by marine insurance)
- →Actions or omissions of third-party auction houses, shipping lines, or clearing agents
- →Any loss arising from your reliance on auction house condition reports
In any event, Vehport's total liability to you for any claim shall not exceed the total amount of Vehport service fees paid by you in the six months preceding the claim.
10Modifications to Terms
Vehport may update, revise, or supplement these Terms of Service at any time. When changes are made, we will:
- →Update the Effective Date at the top of this document
- →Notify registered users by email at least 7 days before material changes take effect
- →Display a notice on the platform for 30 days following the change
Your continued use of the Vehport platform after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the platform.
11Governing Law & Disputes
These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties for 30 days.
If unresolved, disputes shall be submitted to arbitration under the rules of the Lagos Court of Arbitration, with the seat of arbitration in Lagos, Nigeria. The language of arbitration shall be English.
